What we undertake to do, what we ask of you, and what an assessment is and is not. Short, because terms nobody reads protect nobody.

1Who this agreement is with
These terms govern use of the TrainAgent platform. Where an organisation has signed a separate written agreement with us, that agreement governs and these terms fill the gaps.
2Access is by invitation
Accounts are created by invitation from an organisation that holds a workspace. You may not share your credentials, and you must tell us promptly if you believe an account has been compromised. Administrator accounts require multi-factor authentication.
3What you are responsible for
You decide which sessions are captured and assessed. Before a session is captured you must tell the people in it, and obtain any consent the law requires of you. You must have the right to put the material into the platform in the first place, including any courseware you upload.
4What an assessment is
An assessment is a structured, evidence-cited judgement about a training delivery, produced against a published rubric with the help of a language model. Every judgement is verified against the transcript. Where the evidence does not hold, the platform reports that it could not assess rather than producing a number.
It is a professional development instrument. It is not a substitute for your own judgement, and it should not be the sole basis of a decision about a person’s employment, contract or livelihood. A trainer may see the evidence behind any score and may dispute it.
5What we do not promise
We do not promise that a capture will always succeed. Meetings are hosted by third parties whose platforms change, refuse automated participants, or fail. Where a capture fails we will say so rather than produce an assessment from nothing.
We do not promise uninterrupted availability. We do maintain backups and we do alert on failure.
6Who owns what
You keep everything you put in: your courseware, your recordings, your transcripts and the assessments produced from them. We keep the platform, the rubric, the models of how teaching quality is measured, and anything we build.
We do not use your content to train models, and we do not use one customer’s content to serve another.
7Acceptable use
Do not use the platform to break the law, to infringe somebody else’s rights, to attempt to reach another organisation’s workspace, or to probe the service for weaknesses without our written agreement. If you find a security problem, tell us and we will thank you.
8Fees
Fees, the number of assessed days included and any overage are set out in your order or agreement. Prices are quoted exclusive of VAT unless stated otherwise.
9Suspension and ending it
We may suspend an account that is being used in breach of clause 7, or where an invoice is materially overdue, and we will tell you why. You may stop using the platform at any time. On termination you may ask for your content, and ask for it to be deleted.
10Liability
Nothing here excludes liability that cannot lawfully be excluded. Subject to that, our total liability arising out of the platform is limited to the fees paid in the twelve months before the claim, and we are not liable for indirect or consequential loss.
11Governing law
These terms are governed by the law of the Republic of South Africa, and the courts of South Africa have jurisdiction.
12Changes and contact
When these terms change materially we will say so on this page and date it. Write to hello@trainagent.co.za with anything you want to raise.
